These terms are a contract between you and Orgent Co. Ltd. By creating an account or making a booking you accept them. If you are accepting on behalf of a business, you confirm you are authorised to bind it.
1. What Hangout actually is
Hangoutis a marketplace. You tell us your budget and the occasion; we compose an itemised order from a venue's own menu and pass your booking request to that venue.
We are not the venue. The food, drinks, treatments, classes and every other service are supplied by the independent business you book. Your contract for the experience itself is with that business. Ours is for the introduction, the ordering tools and the payment handling.
2. Accounts
You must be 18 or older. Give accurate details, keep your password to yourself, and tell us promptly if you think someone else has got into your account. You are responsible for what happens under your login until you tell us otherwise.
We do not verify your age, and we do not check identity documents. Where an order includes alcohol, the venue is responsible for checking age at the point of service and may refuse to serve you.
3. Budgets, prices and what we promise
The curator never composes an order above the budget you enter. That is a hard rule in the software, not a target — the total you are shown is the total of the items listed.
Two honest qualifications:
- Prices come from the venue and the venue can change them. If a price changes between the moment we build your order and the moment you book, we will refuse the booking and ask you to build a fresh one rather than quietly charge you more.
- The order covers the items listed and nothing else. Anything you order on the night, service charges the venue applies at its own discretion, VAT where the venue charges it, tips, and transport are all outside it.
A venue may set a minimum spend. Where it does, we show it before you build an order.
4. How a booking works
Submitting an order creates a request, not a confirmed reservation. The venue can accept or decline it, and you are only booked once they accept. The decision shows up on your booking page — that page is the source of truth for the status of any booking you have made, and you can return to it any time from your account. A venue may decline for perfectly ordinary reasons — it is full, an item has run out, the kitchen is closed.

5. Payment
Payments are processed by Flutterwave. We do not receive or store your card details. Prices are in Nigerian naira.
Where a booking is paid through the platform, Hangoutcollects the payment and credits the venue's balance with it, less our commission, once the booking is completed. Where you settle directly with the venue, no money moves through us at all and the transaction is between you and them.
6. If you are a venue
- You are responsible for your menu being accurate and your prices being current. Prices you publish here are the prices we will hold you to for orders already accepted.
- You must honour bookings you accept, hold the relevant licences and permits, and meet the food-safety and consumer obligations that apply to your business.
- We charge 8% commission on the value of a completed booking. Your balance is credited net of it. Commission is only ever charged on bookings that were actually paid through the platform and completed.
- You keep ownership of your content; you grant us permission to display it on the site so customers can find and book you.
- Getting paid: your balance is credited when a paid booking is completed. Payouts to your bank account are currently arranged manually — ask us and we will send what you are owed, less any transfer charge. We are building automatic payouts; until then this is the honest description, and your balance is always yours whether or not you have asked for it yet.
- You indemnify us against claims arising from your food, drink, premises, staff, or a booking you accepted and did not honour. We are the introduction; you are the venue.
- We may suspend a listing that misprices deliberately, does not honour bookings, or breaks the law.
7. What you agree not to do
Don't book fraudulently or with a card that is not yours; don't scrape, overload, or try to break into the service; don't post anything false, offensive or unlawful; don't impersonate a business you do not run.
8. Where our responsibility ends
We take responsibility for our own service: the tools working as described, your order being priced as shown, your data being handled as our Privacy Policy says.
We are not responsible for the quality of the food, the service, or the experience at a venue, and we cannot be — we do not cook it or serve it. Complaints about the experience should go to the venue first. If they are not resolved, tell us at support@hangout.ng and we will take it up with them, and remove a venue from the platform where the complaints are serious or repeated.
Limit. Except where the law does not allow it to be limited — and it does not for death, personal injury, or our own fraud — our total liability for any booking is capped at the greater of what you paid us for that booking and the commission we earned on it. We are not liable for indirect or consequential loss: the evening that was spoiled, the trip you made, the business you say you lost.
Things outside anyone's control. We are not in breach of these terms when we are prevented from performing by something we do not control — a payment processor or bank outage, a network or power failure, civil unrest, or an act of government.
Nothing in these terms removes any right you have under the Federal Competition and Consumer Protection Act 2018 or any other Nigerian law that cannot be excluded by agreement.
9. Ending the agreement
You can close your account whenever you like. We can suspend or close an account that breaks these terms. Bookings already accepted survive the closure — they still need to be honoured or refunded.
10. Changes, law and disputes
We may update these terms. Where a change matters, we will update the date at the top of this page and call out the change in the page itself rather than quietly swapping the wording. Continuing to use the service after a change means you accept it.
These terms are governed by the laws of the Federal Republic of Nigeria, and the Nigerian courts have jurisdiction. We would much rather sort a problem out directly — write to support@hangout.ng first and give us a fair chance to fix it.
